Terms of Service
Read these Terms before using Invokora. They cover organization subscriptions, hosted Skills, BYOK, model credits, add-ons, cancellation, refunds, and audit retention.

Overview
These Terms of Service (the “Terms”) apply to your use of the Invokora website, console, API, MCP gateway, organization workspaces, hosted Skills, model credits, and related services (the “Service”). These Terms form a legally binding agreement between you and NEXUSCORTEX LLC.
1. Service position
Invokora is an organization-based AI Skill control platform. It helps organizations host, manage, and invoke internal Skills with permissions, delivery modes, hosted execution boundaries, model credits, and audit records. A solo user uses the Service as a one-person organization.
2. Accounts and organizations
The organization workspace is the main billing and governance boundary. Owners may invite members, configure roles, assign Billing Admins, manage access controls, and manage organization billing. Members may view or use organization resources only within their permissions.
3. Subscriptions, hosted Skill limits, and model credits
The organization subscription fee buys workspace access, security governance, hosted-only execution boundaries, audit capability, and plan features. Plans may limit members, hosted Skills, audit retention, SSO/SCIM, audit export, and support. Hosted Skill limits count only active hosted-only organization Skills; public or source-syncable Skills, archived Skills, versions, files, and workflows do not count. Platform model calls consume organization model credits. Credits roll over while the organization is active. Organizations may buy model credit add-ons, which take effect immediately.
4. BYOK
BYOK means you provide your own model API key. BYOK calls do not consume platform model credits, but still follow plan features, hosted Skill limits, permissions, audit, and security policies. You are responsible for your own key, third-party model account, charges, availability, and third-party terms.
5. Billing permissions
Owners and explicit Billing Admins with billing.manage may upgrade, buy model credit add-ons, manage subscriptions, update payment methods, and access the billing portal. Ordinary members may only view plan and credit state that is visible to them.
6. Skills and customer content
You or your organization retain ownership of Skills, prompts, workflows, files, metadata, and outputs that you upload, configure, or use. Invokora processes customer content only as needed to provide the Service, run invocations, sync allowed delivery content, troubleshoot, protect security, audit, and comply with law.
7. Hosted execution and source boundaries
Hosted-only Skills are hosted and executed server side. Members receive only the shell or handle needed for invocation, not source files. Public or source-syncable Skills may sync source packages according to permissions. The hosted boundary reduces source and internal SOP exposure risk, but is not a guarantee against every prompt injection, misuse, or third-party model output issue.
8. Cancellation, downgrades, and refunds
Organizations may cancel or downgrade through the billing portal. Unless the UI or contract says otherwise, changes usually take effect at the end of the current billing period. Cancellation does not automatically delete organization data or audit records. Paid subscription fees, model credit add-ons, and consumed credits are usually not automatically refunded. Refunds and billing corrections follow the Refund Policy, applicable law, provider records, and enterprise contracts.
9. Audit and retention
Invokora records audit metadata for organization administration, permission changes, Skill invocations, delivery modes, model usage, billing events, blocked events, and security events. Audit retention follows the selected plan or contract. Some billing, tax, dispute, fraud-prevention, security, and compliance records may remain after cancellation.
10. Third-party services
The Service may integrate with model providers, identity providers, payment processors, hosting, analytics, security, and communications services. Third-party services are governed by their own terms and policies and may impose separate fees or limits.
11. Prohibited conduct
You may not bypass access controls or billing limits, attempt to extract hosted-only Skill source or internals, abuse model or system resources, upload illegal or infringing content, attack the Service, evade audit, or use the Service for fraud, illegal, dangerous, or harmful activity.
12. AI output and service changes
AI output may be inaccurate, incomplete, or unsuitable for a particular use. Use human review before making important decisions. We may modify, suspend, or terminate the Service, plan features, or access when needed, especially for security, compliance, abuse, third-party changes, or violations of these Terms.
